These Terms of Service (“Terms”) constitute a legally binding agreement between you and Linden & Coolidge LLC (“CardFlip,” “we,” “us,” or “our”) governing your access to and use of the CardFlip platform, website, and all related services (collectively, the “Service”). By creating an account, accessing the Service, or clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
1. ELIGIBILITY
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are not prohibited from using the Service under applicable law. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
2. ACCOUNT REGISTRATION
To access the Service, you must create an account using your email address and a valid invite or access code. You agree to: (a) provide accurate and complete registration information; (b) maintain the security of your account credentials; (c) notify us immediately at support@cardflipapp.com if you suspect unauthorized access to your account; and (d) accept responsibility for all activity that occurs under your account. You may not share your account with others or create multiple accounts without our written permission.
3. THE SERVICE
3.1 Description
CardFlip is an AI-powered listing automation platform that enables users to create marketplace listings for physical items by photographing them. The Service uses artificial intelligence (Claude AI by Anthropic) to identify items, suggest pricing based on live marketplace data, and post listings to connected marketplaces including eBay. The Service is provided on a scan-based subscription model described in Section 4.
3.2 eBay Account Connection
To post listings through CardFlip, you must connect your own eBay seller account via eBay’s OAuth authentication system. By connecting your eBay account, you: (a) authorize CardFlip to create, modify, and manage listings on your eBay account on your behalf; (b) acknowledge that you remain solely responsible for all listings posted to your eBay account, including compliance with eBay’s policies; (c) represent that you have the legal right to sell the items you list; and (d) acknowledge that CardFlip is not affiliated with, endorsed by, or sponsored by eBay.
3.3 AI-Generated Content
Listing titles, descriptions, prices, and item details generated by CardFlip are produced by artificial intelligence and are suggestions only. You are solely responsible for reviewing, approving, and verifying all AI-generated listing content before it is posted to any marketplace. CardFlip makes no warranty that AI-generated content is accurate, complete, or appropriate for your specific items.
3.4 Marketplace Compliance
You are solely responsible for ensuring that all listings created through CardFlip comply with the terms of service, policies, and legal requirements of any marketplace to which you post, including eBay, Etsy, Whatnot, and any other connected platform. CardFlip is not responsible for listings that violate marketplace policies, result in account suspensions, or otherwise cause harm to your marketplace accounts.
4. SUBSCRIPTIONS AND PAYMENT
4.1 Plans and Scan Caps
CardFlip offers subscription plans as described on our pricing page. Each plan includes a specified number of “scans” — one scan equals one complete AI analysis cycle for a single item. Scans do not roll over to the next billing period. Unused scans at the end of a billing period are forfeited. Your specific plan details including scan caps are displayed in the CardFlip app and on the pricing page at cardflipapp.com.
4.2 Free Trial
CardFlip offers a limited free trial that includes a specified number of lifetime scans at no charge. No credit card is required for the free trial. Free trial scans do not expire but are limited to the specified lifetime cap. Free trial accounts may have access to certain features limited to paid tiers.
4.3 Billing and Payment
Paid subscriptions are billed monthly in advance on the date you subscribe. All payments are processed by Stripe, Inc. By subscribing, you authorize Stripe to charge your payment method on a recurring basis until you cancel. All fees are stated in US dollars and are non-refundable except as described in Section 4.6.
4.4 Automatic Renewal
Your subscription will automatically renew each month unless you cancel before the renewal date. We will send you a reminder email before your renewal. You may cancel at any time through your account settings or by emailing
support@cardflipapp.com. Cancellation takes effect at the end of your current billing period.
4.5 Price Changes
We reserve the right to change subscription prices with at least 30 days’ notice by email. Your continued use of the Service after the price change takes effect constitutes acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
4.6 Refund Policy
All subscription fees are non-refundable. We do not provide prorated refunds for unused portions of a billing period. In the event of a technical error that prevents you from using the Service, we will evaluate refund or credit requests on a case-by-case basis. 5. USER CONTENT AND LICENSES
5.1 Your Content
You retain all ownership rights to photographs and content you upload to CardFlip (“User Content”). By uploading User Content, you grant CardFlip a limited, non-exclusive, royalty-free license to use, process, transmit, and store your User Content solely for the purpose of providing the Service to you, including transmitting photos to AI services for processing.
5.2 Your Representations
By uploading content to CardFlip, you represent and warrant that: (a) you own or have the rights to use all content you upload; (b) your content does not infringe any third-party intellectual property rights; (c) your content does not violate any applicable law; and (d) you have the legal right to sell the items you photograph and list.
5.3 Our Technology
CardFlip and all related software, algorithms, AI prompts, designs, trademarks, and technology are owned by Linden & Coolidge LLC and are protected by intellectual property laws. A provisional patent has been filed with the USPTO covering key aspects of the Service. You receive a limited, non-transferable license to use the Service for your own personal or business purposes. You may not reverse engineer, copy, or create derivative works from CardFlip’s technology.
6. PROHIBITED CONDUCT
You agree not to use the Service to:
• Create listings for items you do not own or have the right to sell
• Post fraudulent, misleading, or counterfeit listings on any marketplace
• Violate eBay’s, Etsy’s, Whatnot’s, or any other marketplace’s terms of service
• Upload photographs of illegal items or items prohibited by marketplace policies
• Attempt to circumvent scan caps, subscription limits, or access controls
• Share your account credentials with others or allow unauthorized access
• Use automated scripts or bots to interact with the Service beyond normal use
• Reverse engineer, decompile, or attempt to extract the source code of the Service • Use the Service to infringe any third-party intellectual property rights
• Transmit malware, viruses, or harmful code through the Service
• Attempt to access accounts, data, or systems you are not authorized to access
• Use the Service in any way that violates applicable federal, state, or local law
7. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CARDFLIP DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO: (A) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (C) WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF AI-GENERATED CONTENT, PRICING SUGGESTIONS, OR ITEM IDENTIFICATION; AND (D) WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARDFLIP, LINDEN & COOLIDGE LLC, AND THEIR OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; (C) DAMAGES ARISING FROM MARKETPLACE ACCOUNT SUSPENSIONS OR POLICY VIOLATIONS; (D) ERRORS OR INACCURACIES IN AI-GENERATED LISTING CONTENT; OR (E) UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (I) THE TOTAL FEES PAID BY YOU TO CARDFLIP IN THE THREE MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100.00).
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless CardFlip, Linden & Coolidge LLC, and their respective officers, members, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any marketplace’s terms of service; (d) listings you post through CardFlip; (e) items you sell through listings created by CardFlip; or (f) your violation of any third-party rights.
10. SUSPENSION AND TERMINATION
We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms, our Acceptable Use Policy, or applicable law. You may terminate your account at any time by emailing support@cardflipapp.com. Upon termination, your right to use the Service ceases immediately. Sections 5.3, 7, 8, 9, and 11 survive termination.
11. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Massachusetts. You consent to the personal jurisdiction of such courts. Before initiating any legal proceeding, you agree to contact us at support@cardflipapp.com and make a good-faith effort to resolve the dispute informally.
12. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. Material changes will be communicated by email with at least 14 days’ notice before they take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Service and cancel your subscription.
13. GENERAL PROVISIONS
Entire Agreement: These Terms, together with our Privacy Policy, Subscription Terms, and Acceptable Use Policy, constitute the entire agreement between you and CardFlip regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights without restriction.
